EazeeSavings Vendor Agreement

1. Platform Overview

EazeeSavings is a 100% free platform for businesses to promote their stores, attract new customers, and increase sales. Vendors receive free marketing support including promotions, campaigns, and visibility within the EazeeSavings ecosystem.

The platform charges only a conversion-based royalty fee of 20% on sales generated through the EazeeSavings program.

2. Cashback & Virtual Card Distribution
  • EazeeSavings provides Vendor with 10,000 virtual cashback cards per month (or as agreed) to distribute to customers.
  • 5% of sales or royalty revenue is placed into a customer cashback pool.
  • Cashback is 100% virtual and can only be redeemed for items or services at the Vendor’s business. It cannot be converted to cash directly by customers.
  • This system allows businesses to generate up to $1 million per year in effective sales through customer redemptions, with minimal cost to EazeeSavings aside from conversion facilitation.
  • Redemption must go through EazeeSavings’ platform for proper tracking and accounting of virtual cashback usage.
3. Royalty Payments
  • Vendor pays a 20% royalty fee on conversions/sales generated through the platform.
  • Payment schedule can be weekly or monthly, as agreed.
  • Late payments may result in suspension or reversal of cashback rewards.
4. Vendor Responsibilities
  • Maintain accurate business and banking information.
  • Comply with all program rules, promotional guidelines, and anti-fraud measures.
  • Use EazeeSavings branding appropriately.
  • Provide customer service for purchases; EazeeSavings handles cashback inquiries and virtual card management.
5. Customer Data & Privacy

Vendor may have access to anonymized customer transaction data. Vendor must not misuse, sell, or share personal data and must comply with all applicable privacy laws.

6. Restrictions & Limitations
  • No manipulation of cashback rewards or distribution outside program rules.
  • Virtual cards must only be distributed for legitimate customer transactions.
  • EazeeSavings can suspend or terminate participation for non-compliance or fraud.
7. Termination
  • Either party may terminate with 30 days’ written notice.
  • Upon termination, cease use of program materials and pay outstanding royalties.
  • Customer cashback balances remain subject to EazeeSavings terms.
8. Liability & Indemnification

Vendor agrees to indemnify EazeeSavings from claims, losses, or damages arising from participation. EazeeSavings is not responsible for Vendor’s operations, customer disputes, or financial obligations outside the program.

10. Royalty Payments & Conversions
  • Vendor agrees to pay a 20% royalty fee on every sale generated through EazeeSavings.
  • A sale is considered a conversion when it occurs via the platform or when a customer purchases at Vendor’s store using a virtual cashback card.
  • EazeeSavings earns the 20% royalty on the sale amount only. The redemption of virtual cashback by the customer does not generate additional royalty.
  • Payment schedule for royalties can be weekly or monthly, as agreed. Late or missed payments may result in suspension of Vendor participation.
11. Restrictions & Limitations
  • No manipulation of cashback rewards or distribution outside program rules.
  • Virtual cashback cards must only be distributed for legitimate customer transactions.
  • EazeeSavings reserves the right to disconnect all virtual cashback cards for a business at any time if it is determined that the business is not complying with the terms, engaging in fraud, or violating program rules.
  • Businesses understand that disconnecting cashback cards may affect customer cashback balances, and therefore must adhere strictly to the program terms to protect their customers.
  • Non-compliance or fraudulent activity may result in suspension or termination of Vendor participation in the program.
12. 5% Cashback Pool & Royalty Split
  • From the 20% royalty on each sale/conversion, 5% is placed into a virtual cashback pool to track all customer rewards.
  • The remaining 15% is paid to EazeeSavings as the actual royalty revenue.
  • Cashback is 100% virtual and can only be redeemed at the store for products or services. It cannot be withdrawn as cash.
  • The store maintains a virtual account for the 5% pool and is responsible for fulfilling customer redemptions when they use their virtual cashback.
  • The virtual cashback pool allows the store to drive sales while limiting upfront expense, as funds are only used when customers redeem them.
  • This system ensures that EazeeSavings earns revenue (15%) while the vendor incentivizes customers effectively with virtual cashback.
13. Promotional & Marketing Terms
  • Vendors must display EazeeSavings branding on promotional materials.
  • Vendors can opt into marketing campaigns and promotions; EazeeSavings may highlight top-performing stores.
  • EazeeSavings reserves the right to approve marketing content using its brand before publication.
14. Redemption & Customer Experience
  • Virtual cashback expires after a defined period (e.g., 12 months) if unused.
  • Customers can partially redeem virtual cashback; remaining balance stays in their virtual account.
  • Virtual cashback cannot be converted into cash directly by the customer.
15. Reporting & Transparency
  • Vendors receive access to dashboards tracking sales, cashback usage, and conversions.
  • EazeeSavings may audit vendor transactions to ensure proper royalty reporting and compliance.
16. Compliance & Legal
  • Vendors must comply with all applicable federal, state, and local laws.
  • Vendors must handle anonymized customer data in accordance with privacy regulations.
  • Vendors are prohibited from manipulating sales, cashback, or rewards programs.
18. Payment & Financial Terms
  • EazeeSavings may adjust royalty rates for specific campaigns or promotions with prior notice.
  • Royalties are paid via agreed methods (bank transfer, online invoice, etc.).
  • Late or missing payments may result in suspension or termination of vendor participation.
19. Termination & Suspension
  • EazeeSavings may suspend vendor accounts for fraud, non-compliance, or violation of terms.
  • Suspension may result in paused or voided virtual cashback balances.
  • Either party may terminate the agreement with written notice; obligations for processed transactions remain.
20. Customer Support
  • Vendors handle order fulfillment and customer service for their products.
  • EazeeSavings supports customers with platform-related issues, such as virtual cashback tracking and account access.
21. Limitations of Liability
  • EazeeSavings is not responsible for lost revenue due to vendor mismanagement.
  • Liability is limited to direct royalty payments or actual damages only.
22. Incentive & Bonus Programs
  • Vendors may earn performance bonuses or lower royalty rates for achieving high sales through the platform.
  • Referral bonuses may be offered for bringing new vendors to the EazeeSavings platform.
23. Platform Updates & Changes
  • EazeeSavings can update program rules, cashback percentages, or royalty structure with notice.
  • Vendors must integrate any new tracking systems or virtual card features introduced by EazeeSavings.
Virtual & Physical Cashback Card Policy

EazeeSavings cashback cards are 100% virtual by default. Virtual cashback cards are issued, tracked, and redeemed exclusively through the EazeeSavings platform and are designed to maximize customer engagement and in-store conversions.

If a Vendor chooses to offer physical (printed) cashback cards, all costs associated with card production—including printing, materials, customization, shipping, and distribution—are the sole responsibility of the Vendor.

EazeeSavings does not cover or reimburse any expenses related to physical card creation.

EazeeSavings may, at its discretion, allow Vendors to add their business logo to an approved EazeeSavings card design. The core EazeeSavings branding, structure, and tracking elements must remain unchanged.

All physical cards must remain linked to the EazeeSavings system to ensure accurate tracking of virtual cashback, conversions, and royalty calculations.

Any misuse, unauthorized reproduction, or alteration of cashback cards may result in immediate suspension or termination of Vendor participation.
